David was a Solicitor when he was one of the first to convert his then Solicitor’s partnership into a full limited company. Company Formations and Shareholders
We can form as well as any firm a Company for clients. However, the real skill and usually where the mistakes occur is in the preparation of an appropriate Shareholder’s Agreement (for smaller companies rather like a Partnership Deed), succession planning, director’s contracts. All of which we understand.
The Companies Court
Not all companies can trade happily. Although based in Kingsbridge we are regular attenders in the Chancery Division and the Companies Court (part of the High Court) in which David has reported cases in the Law Reports. For each attendance there are many other Mediations or Resolutions.
Business Sales and Purchases
Businesses themselves whether they are sole traders, partnerships or companies or shares in companies change hands either by sale or purchase or merger and amalgamation. Our recent work has included sales and purchases including the sale and then transfer of all its working parts from the United Kingdom to China.
During the last few years David in particular has acted on the sale of commercial vessels, new-builds and exciting new-builds at that. Ship building and repairs.
Serious Fraud and Regulatory Law
David has assisted and appeared regularly in the higher Courts in the last few years. From fraud to serious fraud. From Shipping Act 1995 and Maritime Coastguard Agency prosecutions. To public inquiries and judicial reviews. Much of that work by its nature appears in the press or within the established Law Reports although we have a policy of not going public on the work that we do or the successes we have.
We have become an instant success in rural and waterside planning law for farmers, rural land development with particular knowledge of Areas of Outstanding Natural Beauty. New applications, appeals, judicial review to Section 106 Agreements.
Agriculture, Horticulture and Forestry
